服務條款 — Foodfy

一、簡介

歡迎來到 Foodfy（「本公司」、「我們」、「我們的」）。這些服務條款（「條款」）管理您對 Foodfy 平台的存取和使用，包括我們的網站 foodfy.ai、iOS 和 Android 行動應用程式、應用程式介面 (API)、商家儀表板、銷售點系統、廚房顯示系統、網站和行動應用程式建立器、人工智慧驅動的工具、無人機交付基礎設施以及所有相關服務、平台特性、內容和功能（稱為「平台」）。

透過建立帳戶、存取或使用平台的任何部分，您承認您已閱讀、瞭解並同意受本條款、我們的隱私權政策和 Cookie 政策的約束。如果您代表某個組織使用本平台，則您聲明並保證您有權約束該組織遵守這些條款。

如果您不同意這些條款，則不得存取或使用該平台。

2. 定義

在這些條款中，適用以下定義：

平台: Foodfy 網站、行動應用程式、API、商家儀表板、嵌入式工具（POS、KDS、網站建立器、應用程式建構器、ScreensCaster）、人工智慧服務、無人機送貨網路以及 Foodfy 營運的所有相關服務、功能和基礎設施。
使用者: 以任何身分存取或使用平台的任何個人或實體，包括客戶、業務合作夥伴、交付合作夥伴、地區合作夥伴、公司客戶、投資者和影響者。
顧客: 使用平台瀏覽、發現、訂購或購買業務合作夥伴的產品和服務的個人，包括透過網路、行動應用程式、二維碼、自助服務亭或第三方交付整合。
商業夥伴: 任何在平台上列出產品或服務、使用 Foodfy 技術工具或參與 Foodfy 市場的餐廳、雜貨店、藥局、花店、零售店、供應商、品牌、黑暗廚房或其他商業實體。
交付夥伴: 透過平台提供配送服務的個人或實體，無論是透過傳統的車輛配送或透過 Foodfy 無人機配送網路。
地域合作夥伴: 在指定地理區域內管理 Foodfy 營運的個人或實體，以五個層級之一運作：地區負責人、國家負責人、州負責人、城市負責人或地區負責人。
公司帳戶: 一個註冊 Foodfy for Work 的組織，透過平台上的預資助數位錢包、團體訂購和費用管理為其員工提供膳食福利。
美食黃金: 平台訂閱會員方案為客戶提供包括免費送貨、訂單折扣、優先支援和其他高級功能在內的福利。
營養生活: 該平台健康和營養追蹤服務使用戶能夠記錄膳食、追蹤卡路里和常量營養素、記錄生物識別數據並接收人工智慧驅動的營養指導。
人工智慧服務: 透過該平台提供的所有人工智慧和機器學習功能，包括但不限於 Foodfy AI Hub、聊天機器人、選單優化、需求預測、自動化行銷、營養分析和人工智慧驅動的客戶支援。
無人機端口: Foodfy 無人機送貨網路內的指定實體位置，作為無人機送貨的中繼點，由與 Foodfy 達成協議的主機營運。
內容: 透過平台提供的所有文字、圖像、圖形、照片、音訊、視訊、數據、軟體、資訊和其他資料。
使用者內容: 使用者透過平台提交、發布或傳輸的任何內容、資料、文字、圖像、評論、評級或其他資料。

3. 資格

要存取或使用平台，您必須滿足以下所有要求：

年滿 18 歲或您所在司法管轄區的法定成年年齡，以較高者為準。
具有簽訂具有約束力的合約協議的法律能力和權力。
在註冊過程中提供準確、最新和完整的信息，並保持此類信息的準確性。
之前未曾在平台上被暫停、刪除或永久禁止。
不位於或居住在使用平台會違反適用的當地、國家或國際法律的任何司法管轄區。
如果註冊為業務合作夥伴，請持有在您所在司法管轄區經營業務和銷售產品或服務所需的所有必要許可證、許可證和監管批准。

透過使用該平台，您聲明並保證您滿足所有資格要求。 Foodfy 保留隨時驗證您的資格的權利，如果不滿足這些要求，則拒絕或撤銷存取權限。

4. 帳戶註冊及安全

要存取平台的某些功能，您必須建立帳戶。當您註冊時，您同意：

提供真實、準確、完整的註冊訊息，包括您的法定姓名、有效電子郵件地址和電話號碼。
建立一個強密碼並嚴格維護您的登入憑證的機密性。
如果可用，請啟用雙重認證 (2FA)，特別是對於業務合作夥伴、區域合作夥伴和管理帳戶。
如果您發現任何未經授權的存取或使用您的帳戶的情況，請立即透過 [email protected] 通知 Foodfy。
對您帳戶下發生的所有活動負完全責任，無論是否經過您授權。
不得與任何其他人共用您的帳戶憑證或允許多個人使用單一帳戶，除非帳戶類型明確允許多個使用者（例如業務合作夥伴員工帳戶）。

如果我們合理地認為任何帳戶的使用違反了這些條款、涉及詐欺活動或對平台或其他使用者構成安全風險，Foodfy 保留暫停或終止任何帳戶的權利。

5. 平台服務

5.1 對於客戶

Foodfy 提供了一個技術平台，將客戶與多個垂直領域的當地企業聯繫起來，包括餐廳、雜貨店、藥局、花店和零售店。我們促進發現、訂購、付款和交付流程。 Foodfy 充當技術中介，並非業務合作夥伴列出的產品或服務的銷售商、製造商或提供者。每個業務合作夥伴均獨立且全權負責其產品的品質、安全性、合法性、準確性和履行。

客戶可以透過多種管道存取該平台，包括 Foodfy 網站、行動應用程式、二維碼表訂購、參與地點的自助服務亭以及透過整合的第三方交付平台。

5.2 對於商業夥伴

Foodfy 為業務合作夥伴提供全面、一體化的技術套件，旨在數位化和優化其營運。這包括但不限於：雲端銷售點 (POS) 系統、廚房顯示系統 (KDS)、菜單和庫存管理、帶有忠誠度計劃的客戶關係管理 (CRM)、人工智慧分析和需求預測、網站和行動應用程式建立器、數位看板(ScreensCaster)、活動和票務管理、預訂和主機站、採購管理、文件庫、員工和人力資源管理、費用追蹤、會計整合、全通路訊息傳遞（WhatsApp、SMS、電子郵件）、廣告和行銷自動化、影響者管理、客戶調查、自助服務終端軟體、二維碼訂購、交付平台整合、支付終端整合和特許經營管理。

業務合作夥伴保留對其透過平台產生的客戶資料、訂單歷史記錄和業務分析的完全所有權。 Foodfy 不主張業務合作夥伴資料的所有權，並提供資料匯出和可攜性工具。

5.3 對於交付合作夥伴

交付合作夥伴作為獨立承包商運營，不是 Foodfy 的員工、代理商或代表。 Foodfy 提供技術平台來促進配送請求、路線優化和訂單追蹤。管理 Foodfy 和交付合作夥伴之間關係的具體條款在單獨的交付合作夥伴協議中規定，在執行交付之前必須接受該協議。

交付合作夥伴全權負責維護適當的保險、有效的許可證，並遵守其管轄範圍內所有適用的運輸和交付法規。

5.4 對於區域合作夥伴

領土合作夥伴根據單獨的領土合作夥伴協議的條款管理指定地理區域內的 Foodfy 營運。地區合作夥伴以五個層級之一運作：地區負責人、國家負責人、州負責人、城市負責人或地區負責人。每個層級都有特定的責任、績效義務和利潤分享安排，如適用的區域合作夥伴協議中詳述。

區域合作夥伴職位須視供應情況、績效評估以及是否遵守 Foodfy 營運標準而定。 Foodfy 保留根據適用的協議條款修改區域邊界、重新分配區域或終止區域合作夥伴協議的權利。

5.5 對於公司帳戶（Foodfy for Work）

註冊 Foodfy for Work 的組織可以使用企業膳食管理工具，包括預先資助的員工數位錢包、團體訂購功能、費用追蹤和報告以及與人力資源系統的整合。公司帳戶管理員負責管理員工存取、資金分配並確保遵守組織內部費用政策。

5.6 對於投資者

該平台為經過認證的投資者提供了探索 Foodfy 生態系統中的投資機會的功能，包括對 Foodfy、DronePort 基礎設施和相關企業的直接投資。所有投資活動均須遵守適用的證券法律和法規。平台上的投資功能不構成財務建議，使用者在做出投資決定之前應諮詢合格的財務顧問。存取投資功能可能需要額外的身份驗證和認證檢查。

5.7 對於影響者

該平台為內容創作者和影響者提供了與業務合作夥伴合作進行促銷活動的工具。影響者活動受影響者計畫條款管轄，並且必須遵守所有適用的廣告揭露法律和法規，包括明確揭露贊助內容和材料聯繫的要求。

6. 訂單和付款

當您透過平台下訂單時，適用以下條款：

您同意支付所有訂購商品的全價，包括列出的產品價格、適用的稅金、服務費、送貨費以及您選擇添加的任何小費。
產品價格由業務夥伴獨立設定。 Foodfy 不會提高產品價格，也不控制業務夥伴的定價決策。
透過我們符合 PCI DSS 的第三方支付處理器（包括 Stripe）安全地處理付款。 Foodfy 不會在我們的伺服器上儲存您的完整支付卡號、CVV 或其他敏感支付憑證。
訂單須經業務夥伴接受。業務合作夥伴可能會因產能限制、庫存不足、營業時間、交貨距離或其他合法原因而拒絕訂單。
訂單確認不保證履行。產品銷售合約是您和業務合作夥伴之間的合同，而不是您和 Foodfy 之間的合約。
退款和取消政策因業務合作夥伴、訂單類型和訂單處理階段而異。退款請求將根據具體情況進行評估，並考慮請求原因、已使用時間和訂單狀態等因素。
對於透過 Foodfy for Work 企業錢包下的訂單，付款將從您雇主資助的錢包餘額中扣除。企業皮夾條款受 Foodfy 與您的雇主之間的協議管轄。
小費和酬金是自願的，並全額傳遞給交付合作夥伴或業務合作夥伴員工。 Foodfy 不保留任何部分的小費。

7. 平台費用

Foodfy 向使用其技術和市場服務的業務合作夥伴收取平台費。費用結構設計透明且具競爭力：

對於透過 Foodfy 市場下的訂單，市場平台費用上限為訂單價值的 10%。
使用 Foodfy 技術進行直接訂單（透過其自己的品牌網站或基於 Foodfy 構建的應用程式）的業務合作夥伴可按照其業務合作夥伴協議中的規定享受降低的平台費用。
人工智慧服務按照即用即付信用系統計費。 AI 積分是提前購買並根據使用情況消耗的。信用定價和消費費率發佈在人工智慧服務定價頁面中，並可能在事先通知的情況下進行更新。
Foodfy Gold 訂閱費用向訂閱客戶收取，詳情請參閱第 8 節。
Foodfy for Work 公司帳戶費用（如果適用）受單獨的公司服務協議管轄。

客戶無需支付超出結帳時顯示價格的平台費用。所有費用、收費和適用稅金均在訂單確認前明確列出。

8. Foodfy 黃金會員

Foodfy Gold 是一項付費訂閱會員計劃，為客戶提供優質福利。訂閱 Foodfy Gold 即表示您同意以下條款：

8.1 訂閱和計費

Foodfy Gold 訂閱購買時所選擇的定期（每月或每年）計費。除非您在續約日期之前取消，否則您的訂閱將在每個計費週期結束時自動續訂。
付款透過 Stripe 處理。訂閱即表示您授權 Foodfy 在每個續約週期透過您指定的付款方式收取訂閱費用。
訂閱價格可能會發生變化，但需至少提前 30 天通知。價格變更將在通知期後的下一個計費週期開始時生效。

8.2 好處

Foodfy Gold 的福利可能包括免費或折扣送貨、訂單百分比折扣、優先客戶支援、搶先體驗新功能以及獨家促銷。具體福利因計劃級別和地理可用性而異。
優惠僅適用於透過 Foodfy 平台下達的合格訂單，並受最低訂單價值、參與業務合作夥伴的可用性以及指定的其他條件的限制。
Foodfy 保留在合理提前通知訂閱者的情況下修改、新增或刪除特定福利的權利。

8.3 試用期

Foodfy 可能會為新的 Foodfy Gold 訂閱者提供免費或折扣試用期。試用期結束時，您的訂閱將自動按照當時的費率轉換為付費訂閱，除非您在試用期結束前取消。每個帳戶只能使用一次試用版。

8.4 取消和退款

您可以隨時透過帳戶設定取消您的 Foodfy Gold 訂閱。取消在目前計費週期結束時生效，在此日期之前您將保留對黃金級福利的存取權限。
對於部分計費週期，不提供按比例退款。如果您在試用期內取消，我們不會向您收取費用。
如果我們發現濫用、欺詐或違反這些條款的行為，Foodfy 保留終止或暫停黃金會員資格的權利。

8.5 帳戶限制

Foodfy Gold 會員資格是個人且不可轉讓。嚴禁以商業目的共享、轉售或利用黃金級權益，否則可能會導致會員資格立即終止且不予退款。

9. Foodfy for Work（公司帳戶）

Foodfy for Work 使組織能夠透過該平台為其員工提供膳食福利。以下條款適用：

公司帳戶條款，包括定價、錢包資金計劃和分配限額，均受 Foodfy 與註冊組織之間單獨的 Foodfy for Work 協議管轄。
公司帳戶管理員負責邀請和管理員工、設定分配金額和頻率、監控使用情況並確保遵守組織內部政策。
員工錢包餘額由雇主提供資金，只能用於平台上符合資格的購買。電子錢包餘額不可轉讓，不能提取現金，並且按照公司帳戶協議的規定到期。
Foodfy 作為資料處理者代表雇主（資料控制者）處理員工個人資料（姓名、電子郵件、部門、成本中心）。我們的隱私權政策中提供了詳細資訊。
如果員工離開組織或從公司帳戶中刪除，他們的錢包餘額將退還給組織。其餘個人帳戶功能不受影響。

10. NutriLife 健康與營養服務

NutriLife 是透過該平台提供的健康和營養追蹤功能。使用 NutriLife，您承認並同意以下內容：

10.1 不是醫療服務

NutriLife is a wellness and informational tool only. It is NOT a medical device, medical service, or substitute for professional medical advice, diagnosis, or treatment. The nutritional information, calorie calculations, macro and micronutrient tracking, AI-powered dietary suggestions, and health insights provided by NutriLife are for general informational purposes only. You should always consult a qualified healthcare professional before making dietary changes, starting a fitness program, or making decisions about your health.

10.2 健康與生物辨識數據

NutriLife may collect and process sensitive health-related data, including but not limited to: body weight, body fat percentage, blood glucose levels, blood pressure, heart rate, sleep patterns, hydration levels, mood, energy levels, stress levels, digestive health indicators, waist and hip measurements, and BMI. This data is classified as special category data under applicable privacy regulations. By using NutriLife, you provide explicit consent for the collection and processing of this data as described in our Privacy Policy.

10.3 人工智慧驅動的分析

NutriLife uses artificial intelligence to analyze food photos, estimate nutritional content, generate personalized meal plans, and provide dietary recommendations. AI analysis is probabilistic and may not be perfectly accurate. Confidence scores are provided where available, but you should not rely solely on AI-generated nutritional data for medical or critical dietary decisions.

10.4 數據準確性

Nutritional data sourced from third-party databases (including Open Food Facts) is provided "as is" and may contain inaccuracies. Foodfy makes reasonable efforts to maintain data quality but does not guarantee the accuracy, completeness, or timeliness of nutritional information.

11.人工智慧驅動的功能

The Platform integrates artificial intelligence and machine learning capabilities across multiple features. By using AI-powered features, you acknowledge and agree to the following:

11.1 人工智慧生成的內容

人工智慧服務可以產生文字、圖像、建議、分析、預測和推薦。所有人工智慧產生的內容僅供參考和輔助目的。人工智慧輸出可能不準確、不完整或過時。您全權負責審查、驗證並決定是否對任何人工智慧產生的內容採取行動。

11.2 自動化決策

某些平台功能使用自動化處理來提供個人化體驗，包括搜尋結果排名、餐廳和產品推薦、針對業務合作夥伴的動態定價建議、需求預測和詐欺偵測。您有權要求對僅透過自動處理做出的對您有重大影響的決策進行人工審核，如我們的隱私權政策中詳述。

11.3 AI積分和計費

業務合作夥伴透過即用即付信用系統存取人工智慧服務。 AI 積分是預付的，不可退款（法律要求的情況除外），並且在購買時指定到期。信用消耗率因功能而異，並在 AI 服務文件中詳細說明。 Foodfy 保留在事先通知的情況下修改信貸定價和消費率的權利。

11.4 第三方人工智慧提供商

Foodfy AI 服務部分由第三方供應商提供支持，包括 Anthropic 和 OpenAI。您對人工智慧功能的使用須遵守這些提供者可接受的使用政策。 Foodfy 不保證人工智慧功能的不間斷可用性，因為它們依賴第三方基礎設施。

11.5 限制

Foodfy 不保證人工智慧輸出沒有錯誤、適合任何特定目的或沒有偏見。人工智慧模型是根據歷史資料進行訓練的，可能無法考慮新興趨勢、當地偏好或個人情況。業務決策不應僅基於人工智慧生成的建議。

12. 無人機送貨服務

Foodfy 經營一個混合無人機配送網絡，將傳統的車輛配送與自主和半自主無人機配送結合。透過使用或接受無人機送貨服務，您同意以下內容：

12.1 服務可用性

無人機交付僅在已獲得監管部門批准且 DronePort 基礎設施運作的指定區域提供。可用性可能會受到天氣條件、空中交通限制、監管變化、維護計劃和營運能力的限制。 Foodfy 保留隨時以傳統配送方式取代無人機配送的權利，恕不另行通知。

12.2 交貨條件

無人機交付利用通過 DronePort 地點的多路中繼系統。您必須提供準確的送貨地點信息，並確保指定的送貨區域暢通無阻、無人機著陸安全。對於因配送資訊不準確、配送區域受阻或超出我們合理控制範圍的情況而導致的配送延遲或失敗，Foodfy 不承擔任何責任。

12.3 安全和法規

所有無人機操作均遵守每個操作管轄區適用的航空法規和安全標準。您同意不干擾、阻礙或篡改任何無人機、DronePort 設備或正在進行的交付。幹擾無人機操作可能違反航空法，並將導致帳戶立即終止並將其移交有關當局。

12.4 DronePort 主機條款

Individuals and organizations hosting DronePort infrastructure operate under separate DronePort Host Agreements that govern installation, maintenance, revenue sharing, insurance, and operational requirements. DronePort host terms are not covered by these general Terms of Service.

13. 地區合作夥伴計劃

The Foodfy Territory Partner Program enables entrepreneurs to manage Foodfy operations within designated geographic areas. By participating in the Territory Partner Program, you agree to the following:

Territory Partners operate under a separate Territory Partner Agreement that defines the scope of the territory, performance expectations, profit-sharing arrangements, and operational standards.
Territory assignments are non-exclusive unless expressly stated otherwise in the Territory Partner Agreement. Foodfy reserves the right to operate directly or through other partners in any territory.
Territory Partners must meet minimum performance benchmarks, adhere to Foodfy brand guidelines, and maintain professional conduct in all interactions with Business Partners, Customers, and the public.
Territory Partners are independent contractors and are not employees, franchisees, or agents of Foodfy. Nothing in the Territory Partner Agreement creates an employment, franchise, joint venture, or agency relationship.
Foodfy 可以根據適用協議中指定的條款修改區域邊界、重組區域層級的層級結構或終止區域合作夥伴協議。

14. 商業索賠

Foodfy 維護我們經營所在司法管轄區的當地企業的綜合名錄。如果您的企業已在我們的名錄中列出，您可以透過我們的驗證流程索取您的企業資料。透過聲明企業資料，您同意以下內容：

You must be the legal owner, authorized officer, or duly authorized representative of the business to initiate a claim.
The claiming process requires identity verification, proof of business ownership (such as trade license, business registration, or equivalent documentation), and may include phone or email verification.
對於無法令人滿意地驗證的任何索賠，或者如果我們有合理的理由相信該索賠是欺詐性的或未經授權的，Foodfy 保留拒絕、撤銷或撤銷任何索賠的權利。
Once a business is claimed, you assume responsibility for the accuracy of all business information displayed on the Platform, including business name, address, operating hours, menu, pricing, and contact details.

15. 網站和行動應用程式產生器

Foodfy 為業務合作夥伴提供創建客製化品牌網站和行動應用程式的工具。使用網站建立器或行動應用程式建立器，即表示您同意以下內容：

You are solely responsible for all content published on your Foodfy-built website or mobile application, including text, images, product listings, pricing, and promotional materials.
Your website and mobile application must not contain content that is illegal, infringing, defamatory, fraudulent, misleading, or violative of any applicable law or regulation.
連接到 Foodfy 建立的網站的自訂網域仍然是您的財產。 Foodfy 提供 DNS 配置協助，但不負責網域名稱註冊、續約或爭議。
Mobile applications built through the Foodfy App Builder are subject to the app store policies of Apple (App Store) and Google (Google Play). You are responsible for ensuring your app content complies with all applicable app store guidelines.
Foodfy 可能會在事先通知或不事先通知的情況下刪除或停用違反這些條款、適用法律或第三方權利的網站或行動應用程式。

16. 活動和票務

The Platform provides tools for Business Partners to create, manage, and sell tickets to events. The following terms apply to event ticketing:

活動組織者（業務夥伴）全權負責平台上列出的活動的規劃、執行和履行。 Foodfy 充當技術促進者，而不是任何活動的組織者、製作者或共同主辦者。
Ticket purchases are final and subject to the refund and cancellation policy set by each event organizer. Foodfy is not liable for event cancellations, postponements, changes, or the quality of the event experience.
活動組織者有責任遵守其管轄範圍內所有適用的活動許可、安全、容量和監管要求。
Ticket resale, transfer, or scalping is prohibited unless expressly permitted by the event organizer. Foodfy reserves the right to cancel tickets obtained through unauthorized resale channels.

17. 商業銷售市場

The Platform provides a marketplace feature where Business Partners may list their businesses for sale or explore acquisition opportunities. By using this feature, you agree to the following:

Foodfy 僅充當連接潛在買家和賣家的技術促進者。 Foodfy 並非任何銷售交易的一方，不提供估值或財務建議，也不保證任何交易的完成。
Sellers are responsible for the accuracy and completeness of all listing information, including financial data, operational details, and representations about the business.
買方有責任在進行任何交易之前進行自己的盡職調查。 Foodfy 並未驗證賣家陳述的準確性。
雙方都有責任聘請合格的法律、財務和稅務顧問來促進任何業務銷售交易。

18. 第三方集成

The Platform integrates with various third-party services to enhance functionality. These integrations include but are not limited to:

交付平台整合（Uber Eats、Deliveroo、Talabat、Keeta、Careem 等）可讓業務合作夥伴從多個管道接收和管理訂單。
用於財務管理和對帳的會計軟體整合（Xero、QuickBooks）。
Payment processing services (Stripe) for secure transaction handling.
用於訊息傳遞和通知的通訊平台（WhatsApp、透過 Twilio 發送的簡訊、電子郵件）。
Mapping services (Google Maps) for location-based features, delivery routing, and business discovery.
用於行銷活動管理的廣告平台（Meta、Google Ads）。

Third-party integrations are governed by the respective terms and conditions of each third-party provider. Foodfy is not responsible for the availability, accuracy, or performance of third-party services. Data shared with third-party integrations is described in our Privacy Policy.

19. 促銷積分、優惠券和優惠

Promotional credits, coupon codes, referral bonuses, and special offers ("Promotions") are issued at Foodfy discretion and are subject to specific terms and conditions communicated at the time of issuance.
Promotions are non-transferable, may not be combined with other offers (unless stated otherwise), and have no cash value.
Promotions may have expiration dates, minimum order values, geographic restrictions, and category limitations.
Foodfy 保留隨時修改或取消任何促銷活動的權利，以及撤銷透過詐欺、濫用、錯誤或違反適用條款而獲得的促銷活動的權利。
Systematic or automated exploitation of Promotions, including creation of multiple accounts to redeem promotions, is strictly prohibited and will result in account suspension, forfeiture of credits, and potential legal action.

20. 智慧財產權

20.1 Foodfy知識產權

20.2 有限許可

Subject to your compliance with these Terms, Foodfy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for its intended purposes. This license does not include the right to: reproduce, distribute, modify, create derivative works of, publicly display, reverse engineer, decompile, or disassemble any part of the Platform or its underlying technology.

You may submit reviews, ratings, photos, comments, and other content ("User Content") through the Platform. By submitting User Content, you:

22. 禁止行為

You agree that you will not, and will not assist or enable any third party to:

Use the Platform for any unlawful, fraudulent, or malicious purpose, or in violation of any applicable local, national, or international law or regulation.

Interfere with, disrupt, degrade, or place an unreasonable or disproportionate load on the Platform, its servers, networks, or connected infrastructure.

Use any automated system, including but not limited to robots, spiders, scrapers, data mining tools, or artificial intelligence to access, extract, copy, or monitor data from the Platform without our express written permission.

Upload, transmit, or distribute any malware, viruses, worms, Trojan horses, or other harmful or malicious code.

Use the Platform to compile, directly or indirectly, a collection of business listings, product data, pricing information, or customer data for use outside the Platform.

23. 免責聲明

THE PLATFORM AND ALL CONTENT, FEATURES, SERVICES, AI OUTPUTS, NUTRITIONAL DATA, AND INFORMATION PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOODFY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

Without limiting the foregoing, Foodfy does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Platform will be accurate, reliable, or complete; (c) any errors or defects will be corrected; (d) the Platform or the servers that make the Platform available are free of viruses or other harmful components; or (e) AI-generated content, nutritional data, or health insights are accurate or suitable for any particular purpose.

24. 責任限制

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOODFY, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to, use of, or inability to access or use the Platform.

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF FOODFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

25. 賠償

You agree to indemnify, defend, and hold harmless Foodfy and its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys fees and court costs) arising out of or in connection with:

Your access to or use of the Platform.
Your violation of these Terms or any applicable law or regulation.
Your User Content or business listings.
Your violation of any rights of any third party, including intellectual property, privacy, or publicity rights.

26. 爭議解決

26.1 非正式決議

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Foodfy.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or data protection obligations.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the relevant Foodfy entity operates, without regard to conflict of law principles. As Foodfy operates across multiple countries through its Territory Partner network, the specific governing law and jurisdiction may vary depending on your location, the nature of the dispute, and the Foodfy entity with which you have a contractual relationship.

28. 終止

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without prior notice. Grounds for termination include, but are not limited to:

Violation of these Terms or any other Foodfy policy or agreement.

Prolonged inactivity of your account.
Request by law enforcement or government authorities.

Upon termination: (a) your right to use the Platform immediately ceases; (b) we may delete your account data after a reasonable retention period, subject to our Privacy Policy and applicable legal obligations; (c) any outstanding payment obligations survive termination; and (d) provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 20, 21, 23, 24, 25, 26, 27, and 29-33.

These Terms, together with the Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein or agreed to by you, constitute the entire agreement between you and Foodfy concerning the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Foodfy regarding the Platform.

The failure of Foodfy to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Foodfy.

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms, except as expressly provided herein.
